BAITM-230 International Tourism-Management, Bachelor, ASPO 01.10.2008 , semester 2, mandatory course
Workload:
Workload of student for successfully completing the course. Each ECTS credit represents 30 working hours. These are the combined effort of face-to-face time, post-processing the subject of the lecture, exercises and preparation for the exam.

The total workload is distributed on the semester (01.04.-30.09. during the summer term, 01.10.-31.03. during the winter term).
60 class hours (= 45 clock hours) over a 15-week period.
The total student study time is 120 hours (equivalent to 4 ECTS credits).
There are therefore 75 hours available for class preparation and follow-up work and exam preparation.

Learning outcomes:
The course aims to provide students with deeper insight into the role, function and structure of key areas of commercial law, and to illustrate the main special provisions of commercial law compared to the German Civil Code (BGB). The part of the course dealing with company law will be used to teach students about the structure of company law and to convey a basic understanding of important (European and German) corporate structures. Students should be able to apply what they have learned to practical cases of interest during the lecture course.

Commercial law:
 - Role, function and structure; the concept of ‘merchant’; commercial register
 - Company law and rights ensuing from establishing and managing a commercial undertaking
 - Commercial staff; selected commercial activities
 - Commercial practice and differences to BGB
Corporate law:
 - Structure
 - Fundamental aspects of the European company forms: European Company (SE) and European Economic Interest Grouping (EEIG)
 - Basic information on the different types of German business undertakings: OHG, KG, AG and GmbH
